Authentication and Account management:
1. I forgot my password. How can I reset my password?
Go to https://captable.io/auth/forgot-password, enter you email and click submit to get a password reset link in your inbox.
2. I have access to my account. How can I reset my password?
You can do so in the “My Account” section under the dropdown menu on top right of the page.
3. How can I edit my name on the account?
You can do so in the “My Account” section under the dropdown menu on top right of the page.
4. How can I change the email associated to my account?
You can do so in the “My Account” section under the dropdown menu on top right of the page.
5. How can I delete my account?

Getting Started:
1. As a new company, how should I set up my cap table?

2. I have my cap table in an excel spreadsheet, how can I enter the data into Captable.io?
You can use our excel template to import data in bulk into our system. When creating a new cap table, choose “Excel Import” and download our template. Enter your spreadsheet data into our template and import it.
3. I use eShares. How can I move my data into Captable.io?
First, export your cap table as a spreadsheet from eShares. Then, while creating a new cap table, choose “eShares Import” and upload the exported cap table.
Sharing:
1. How can I share my cap table with others?
You can invite people to your cap table by going to the “Share Cap Table” tab on the left panel. You can choose between different level of access rights while inviting too.
2. Can I share my cap table with people outside my organization?
Yes, it is common for users to share their complete/summary cap table with investors, advisors, legal teams, contractors etc. You can invite anyone by using their email.
3. How can I give people access to edit the cap table?
While sharing your cap table, choose “Detailed, editable” in the access level drop down.
4. How can I give stockholders access to only their grants or holdings?
You can do so by going to the “Stockholders” tab on the left panel. Then click the share button next to any stockholder in the list to send them an invite to view and verify their holdings.
Scenario Modeling:
1. How can I model and save multiple scenarios for my cap table?
You can make multiple copies of your cap table by going to the folder icon on the top left, then click copy next to a cap table in the list. You can then model different scenarios in each cap table.
Cap Table Management - Founders & Employees:
1. How do I grant founder stock on a vesting schedule?
You can do so by going to “Securities” in the left panel, then “Grant Stock”. In the form, switch the toggle for “Vesting schedule?” to “Yes”, enter details of vesting schedule and “Submit”.
2. How can I grant stock from an employee incentive plan?
First, create an option grant from the option plan. You can do so by going to “Securities” tab on the left panel, then “Options”, and “Grant Stock Options”. Then go the grant detail view by clicking on the “Cert.” number in the Options list and “Convert to restricted stock”. This will remove the options grant and transfer the shares to a stock grant.
3. How can I record a stock option grant that is not vesting?
While creating the option grant, set the “Vesting Period” and the “Vesting cliff” as 0. This means that the grant is fully vested at commencement.
4. I have a plan that vests on a unique schedule. A part of the grant vests on the first day, and the rest on a vesting schedule. How do I model this?
Split this into two separate grants, one with a vesting schedule and the other without.
5. We granted options to an employee who is no longer at the company. How can I return the unvested portion of the grant back to the pool? How can I cancel the option grant and return all the shares back to the pool?
You can use features around “Exercise and Termination” in the Options grant detail view. Choose “Stop Vesting” to return only the unvested portion to the option pool. To return all the shares back to the pool, use “Lapse”.
Cap Table Management - Convertible Notes:
1. How do I record an increase in the number of authorized shares for a security class?
You can do so by going to “Securities” tab on the left panel, then click on the security class name you want to edit, then “Edit Class”. Edit the “Shares Authorized” to reflect the updated amount and “Submit”.
2. I had convertible notes that were already converted to stock. How do I model this?
You can add these as stock grants instead of convertible notes. You can add a comment while creating the grant to record that the grant is a converted note.
3. Our SAFE’s convert to a X% ownership if we raise above Y in the following rounds. How can I record this?
You can model this by creating a convertible instrument. To do so, go to “Securities” tab on the left panel, then “Convertible Instruments”, then “Issue Instrument”. In the form, choose note type as “Y Combinator SAFE”.
4.I don’t understand what some of the field names mean in the form while issuing an instrument. Is there a description?
Yes, most fields have a description associated to them. You can hover over the field names to see its description.
